Definition

  • A written agreement whereby the recipient of information agrees to keep confidential specifically identified information given by the provider for a specified period of time.
  • Can involve one-way or two-way disclosures.
Examples

A company provides a PI with a protocol so the PI can evaluate whether they want to participate in a clinical trial. A UCSF researcher wants to share research, ideas, or inventions with a company to explore partnership opportunities.

NDAs and CDAs are handled by the Office of Sponsored Research:

  • If the primary sponsor is a for-profit entity, review and approval is by the OSR Industry Contracts Division.
  • If related to an existing invention, review and approval is by the Office of Technology Management (OTM) .
